Please read these Terms of Use (“Terms”) carefully. By accessing or using the Site you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site.
The Site presents information about Numina Gallery, its locations, the artists it represents and a selection of works from its collection. The works shown online are only part of the collection. Nothing on the Site constitutes an offer to sell. A description, image or availability notice may be withdrawn or changed at any time without notice, and all works are subject to prior sale.
An inquiry submitted through the Site is a request for information and does not create a contract. Any acquisition of a work is concluded separately in writing, on the terms of the invoice or sale agreement issued by Numina Gallery, which will govern price, payment, title, delivery, insurance, taxes and duties, and any applicable export or cultural-property formalities.
We take care in describing the works on the Site, including attribution, title, medium, dimensions, date, signature and provenance, and we draw on published references and the documentation available to us. Descriptions are nonetheless statements of opinion, not warranties, unless expressly confirmed in writing in a sale agreement. Photographs are for illustration only: colors, textures and scale may differ from the original. Dimensions are given in centimeters, unframed unless stated otherwise, with approximate conversions to inches.
The Site and its contents, including text, design, layout, logos, the Numina Gallery name, and photographs of works and of the gallery, are owned by or licensed to Numina Gallery and are protected by United States and international copyright and trademark laws. Works of art shown on the Site may also be protected by the copyright of the artist or the artist's estate.
You may view and print pages of the Site for your personal, non-commercial use. You may not reproduce, distribute, modify, publicly display, create derivative works from, or otherwise exploit any content from the Site without our prior written permission and, where applicable, that of the relevant rights holder.
You agree not to use the Site in any way that is unlawful, that infringes the rights of others, or that could damage, disable or impair the Site. In particular you must not attempt to gain unauthorized access to the Site or its systems, use automated tools to scrape or harvest content or personal data, or submit false, misleading or abusive inquiries.
The Site may contain links to third-party websites, such as map services, which are provided for convenience. We do not control and are not responsible for their content, availability or privacy practices.
THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THIS SECTION DOES NOT AFFECT ANY WARRANTY EXPRESSLY GIVEN IN A WRITTEN SALE AGREEMENT.
TO THE FULLEST EXTENT PERMITTED BY LAW, NUMINA GALLERY LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS AND ADVISERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
You agree to indemnify and hold harmless Numina Gallery LLC and its members, managers, officers, employees and agents from any claim, loss, liability or expense, including reasonable attorneys' fees, arising from your breach of these Terms or your misuse of the Site.
Our collection and use of personal information through the Site is described in our Privacy Policy, which forms part of these Terms.
These Terms and any dispute arising out of or relating to the Site are governed by the laws of the State of Wyoming and the federal laws of the United States, without regard to conflict-of-laws principles. You agree that any legal action relating to the Site shall be brought exclusively in the state or federal courts located in the State of Wyoming, and you consent to the personal jurisdiction of those courts. Nothing in this section limits any mandatory consumer-protection rights you may have under the laws of your country of residence.
We may change, suspend or discontinue any part of the Site at any time. We may also revise these Terms; the effective date at the top of the page indicates the latest revision. Your continued use of the Site after a revision is posted constitutes acceptance of the revised Terms.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right or provision. These Terms, together with the Privacy Policy, are the entire agreement between you and Numina Gallery concerning use of the Site.
